Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of Opsetu, operated by [Registered Legal Entity Name — to be inserted] ("Opsetu," "we," "us"). By registering for an account, starting a trial, or otherwise using Opsetu, you agree to these Terms on behalf of yourself and the business you represent. If you don't agree, don't use Opsetu.

2. The service

Opsetu is a multi-tenant software platform for Indian retail and D2C businesses, providing marketplace order management, returns handling, AI-assisted product design, and — depending on your plan — warehouse and inventory management, accounting sync, multi-channel advertising management, WhatsApp business messaging, and related operating tools, delivered via web, mobile app, and API. Which modules and limits apply depends on your subscription plan, described at opsetu.com/pricing.

3. Eligibility & registration

• You must be at least 18 years old and authorized to act on behalf of the business you're registering
• Registration requires phone number verification via SMS OTP before any trial or paid access is granted — there is no way to use Opsetu without a verified account
• You may optionally enable TOTP-based two-factor authentication as an additional layer of account security
• You're responsible for keeping your account credentials secure, and for all activity under your account
• You must provide accurate business information, including for GST invoicing purposes

4. Free trial

New accounts get a 14-day trial with full access to our Growth-tier features, at no cost and without requiring payment details up front. Around day 10 we'll prompt you to set up billing. If no payment mandate is set up by day 14, your account moves to read-only mode — your data is preserved, not deleted — until you complete billing setup. We may change trial length, included features, or eligibility at our discretion, with reasonable notice for existing trials in progress.

5. Subscription & billing

• Paid subscriptions are billed through Razorpay Subscriptions, primarily via UPI Autopay, with cards available as an alternative
• Plans and pricing are described at opsetu.com/pricing and may change; we'll give reasonable notice before a price change affects an active subscription
• Subscriptions auto-renew each billing cycle until cancelled
• You can cancel at any time; cancellation takes effect at the end of the current billing period, and we don't provide partial-period refunds except where required by law
• GST-compliant invoices are issued under Opsetu's own registered entity
• If a payment fails and isn't resolved within a reasonable grace period, we may suspend access to paid features

6. Your responsibilities

• You're responsible for the accuracy of the business data you enter, and for how you use the platform to run your business
• If you connect third-party accounts (marketplace, advertising, WhatsApp), you're responsible for complying with that platform's own terms of service — Opsetu provides the connection, not a waiver of the third party's own rules
• You're responsible for your own tax and regulatory compliance as a business — Opsetu's accounting and invoicing tools support this but don't substitute for your own compliance obligations
• You're responsible for the conduct of any staff seats you add to your account

7. Acceptable use

You agree not to:

• Use Opsetu for illegal goods, services, or activity
• Send unsolicited bulk messages through the WhatsApp integration in a way that violates Meta's own messaging policies — this can get the shared WhatsApp Business number restricted for other Tenants too, not just you
• Attempt to reverse-engineer, scrape, or gain unauthorized access to Opsetu's systems or other Tenants' data
• Resell or sublicense access to Opsetu without our written authorization
• Use the platform to abuse, defraud, or spam your own customers

We may suspend or terminate accounts that violate this section, particularly where the violation risks Opsetu's own standing with a connected platform (Meta, Amazon, Google, etc.) that affects other Tenants.

8. Data & content ownership

You retain ownership of the business data, content, and customer data you put into Opsetu. We process it to provide the service to you, as described in our Privacy Policy. On termination, you can export your data for a reasonable period before it's deleted per our retention schedule.

9. Third-party integrations

Where Opsetu connects to a marketplace, advertising, or messaging platform on your behalf (for example, via OAuth to your Amazon, Meta, or Google account), you're granting Opsetu authorization to act within the scope you've approved. Opsetu isn't responsible for outages, policy changes, or account actions taken by these third-party platforms themselves. If a third-party platform changes its API or terms in a way that affects a feature, we'll make reasonable efforts to adapt, but can't guarantee continuity of any third-party integration.

10. Intellectual property

Opsetu's software, branding, and platform design remain the property of [Registered Legal Entity Name — to be inserted]. Nothing in these Terms transfers ownership of our platform to you. Content and designs you create using Opsetu's tools (for example, AI-generated product images) are yours to use for your business, subject to the underlying terms of any third-party AI service used to generate them.

11. Suspension & termination

You can cancel your account at any time. We may suspend or terminate an account for breach of these Terms, non-payment, or abuse that risks the platform or other Tenants. Where reasonably possible, we'll give notice and a chance to resolve the issue first. Data handling after termination follows our Privacy Policy's retention schedule.

12. Disclaimers & limitation of liability

Opsetu is provided "as is." We don't guarantee the service will be uninterrupted or error-free, particularly where a feature depends on a third-party platform outside our control. To the maximum extent permitted by law, Opsetu isn't liable for indirect, incidental, or consequential damages, and our total liability for any claim is capped at the fees you paid us in the 12 months before the claim arose. Nothing here limits liability where the law doesn't allow it to be limited.

13. Indemnification

You agree to indemnify Opsetu against claims arising from your misuse of the platform, your violation of these Terms, or your violation of a connected third-party platform's own terms.

14. Governing law

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts at [Jurisdiction — to be inserted].

15. Changes to these terms

We may update these Terms as the platform evolves. We'll update the "Last updated" date above, and for material changes, we'll make a reasonable effort to notify active Tenants directly.
